Summary/Objective

The Corporate Counsel is responsible for being the lead for the legal needs of the company. This is an individual contributor, generalist type of role and will serve as the single, inside legal subject matter expert for the company. You will need to be willing to roll up your sleeves to do a broad set of work from tactical to very strategic with a significant amount of contract review. You will be responsible for addressing a wide range of needs, including areas such as real estate, mergers and acquisitions, and employment; while also managing outside counsel as necessary.

Essential Functions

• Independently review, draft, and negotiate contracts and other commercial documents in support of numerous business units and partners.
• Partner with the business to successfully drive the initiatives they are championing and to provide overall support for execution of company strategy.
• Coordinate with company stakeholders in order to effectively collaborate across all levels of the organization.
• Manage legal costs in connection with external legal services.
• Give strategic, prompt, and concise contract and legal advice to management.
• Improve legal efficiencies, including creating new templates and streamlining of processes.

Supervisor Responsibilities

• External, part-time contract attorney support as necessary

Required Qualifications

• Bachelor’s Degree and JD required
• Minimum of 6 years of practice experience required with experience across a broad set of corporate legal needs
• Some experience with a law firm preferred
• Applicable state bar licensure or in-house counsel qualification

Knowledge, Skills & Abilities

• Broad transactional background and significant experience in commercial and corporate law
• Proven ability to drive business forward and achieve results, while managing risk and protecting the company
• Demonstrate eagerness and ability to learn industry, business, and operational matters quickly
• Able to effectively manage tight timelines and balance competing priorities
• Being a highly effective, practical lawyer with a track record of value creation is desired
• Excellent interpersonal and communication skills, including verbal and written communication and drafting skills
• Ability to be a “hands-on” lawyer who is practical, pragmatic and customer-service oriented, with willingness and ability to learn the business in order to be a key contributor
• An outstanding relationship building capability and a collaborative working style

Regular use of the telephone and e-mail for communication is essential. Sitting for extended periods and the use of hands to finger is common. Hearing and vision within normal ranges is helpful for normal conversations, to receive ordinary information and to prepare or inspect documents.

No heavy lifting is expected. Exertion of up to 10 lbs. of force may occasionally be required. While performing the duties of this job, good manual dexterity for the use of common office equipment such as computer terminals, calculator, and copiers is needed. The employee is occasionally required to walk, climb, balance, reach, stoop, kneel, crouch, and crawl.

Travel

Some occasional travel within the Southeastern U.S.
