Position Summary:
  • Looking for a candidate to join a diverse corporate practice in a position that will focus on securities and capital markets.

Principal Duties & Responsibilities:
  • Draft materials relating to public and private offerings of securities, SEC disclosure requirements and corporate governance matters. Conduct legal research and analysis. Communicate and correspond with colleagues, clients, other counsel.
  • Must have understanding of compliance and disclosure related securities laws (’34 Act, ’33 Act, Regulations S-K, S-X and MA) ability to perform legal research primarily in federal and state securities law; ability to use library reference materials and/or electronic resource tools in order to maintain expertise; ability to establish and maintain effective working relations with others; ability to communicate effectively in English orally and in writing; ability to organize and prioritize workload; ability to understand and follow written and oral directions; knowledge of Microsoft Office, Outlook, WORD, Excel, and Adobe Acrobat.

Education:
  • JD degree; Bachelor’s degree; Must be admitted to practice law in the State of New York.

Experience:
  • Candidates must have extensive securities and capital markets experience.
  • Candidates must be from a NY office with a highly rated securities practice.
  • Candidates must have top academic credentials
  • Candidates must have stellar law firm employment history (limited changes since graduation).
