Vice Presidents, Investment Team (2 job openings), New York, NY: Lead the evaluation, execution, and board-level oversight of private equity investments in middle-market companies in the consumer, business services and building products industries. Constructs complex economic models and performs sophisticated financial analysis of industry data in multiple sectors to predict and forecast market developments in support of portfolio management and strategic development. Conduct analyses of industries and sectors associated with American Securities’ portfolio companies to source investment opportunities and to support development of investment strategies for new industries or investment verticals consistent with the firm’s investment criteria and objectives: Coordinate compilation of relevant industry, sector and country specific financial research; monitor macro- and microeconomic indicators and trends impacting various industries and the unique positioning of specific businesses within these verticals; synthesize economic research and statistical data in selected verticals; research and analyze capital market conditions; create complex econometric models using mathematical and statistical techniques to examine large data sets; develop frameworks to assess current and future economic conditions and issues affecting portfolio companies; build financial models to assess optimal capital structure and cost of capital; build and apply valuation models; perform comparable company analyses, discounted cash flow analyses, and comparable acquisitions analyses; perform operational risk, performance review, value chain, SWOT analyses, and other economic and financial analyses to evaluate strategic strengths and weaknesses of investment opportunities. Contribute insights to Investment Team’s understanding of the markets in which existing or prospective portfolio companies are operating, and of capital market trends: synthesize research and analysis into presentations, charts, tables, written reports, memoranda and other communications to the Investment Committee, senior management and investors; provide information for investor communications including forecasts, reporting, and financial estimates. Manage investment process and negotiate and close LBOs and structured deals: maintain strong relationships with bankers, lenders, and industry executives in selected verticals; oversee internal and external due diligence; assess capital structure alternatives, restructuring strategies, and valuation enhancing alternatives; coordinate internal approval processes; prepare investment memoranda and coordinate debt financing. Design and analyze structured investments including minority preferred equity and earnout structures: build economic or financial models and sensitize across many scenarios; collaborate with legal and outside counsel to document the transaction documents associated with structured investments; negotiate with potential targets on the features of the structured investments. Work with portfolio company management delivering economic, financial and strategic insights. Interface with portfolio company management teams on strategic initiatives; serve on boards of directors. Interact with senior management and manage/supervise/train junior members of the investment team. Required: MBA (or foreign equivalent degree) plus 4 years’ experience, or Bachelors in Economics, Finance or Business or related field (or foreign equivalent degree) plus 6 years’ experience. Travel during 10-20 weeks per year (mostly North America) to meet with management of portfolio companies and prospective acquisitions, and for board meetings. May participate in hybrid/flexible employment according to company policy (currently 3 days per week in the office; subject to change), but must be present in the office on specific days as scheduled by team or project.
