Job Description:

Responsibilities

This position is responsible for managing:

  • The specialized governance support functions for the Emergent Holdings subsidiary boards of directors, including but not limited to the coordination, alignment and sequencing of board actions and information for upstream/downstream boards of directors, meeting facilitation and logistics, and board scheduling.
  • All board-related compliance (internal and external), regulatory and licensing requirements related to the Emergent Holdings and subsidiary boards (with multiple shareholders, entity types, states of domicile and licenses), in coordination with cross-functional teams, outside counsel, boards of directors and officers.
  • The integrity and maintenance of all entity data and corporate records for the Emergent Holdings and subsidiary boards, using entity management technology.

This position will interact with all levels of management including direct interaction with executive leadership, board directors and officers; therefore, the role requires the candidate to possess the following:

  • Ability to effectively communicate and educate all levels of management on board governance roles and responsibilities, protocols, regulations, policies and procedures.
  • Ability to collect information from different places (individuals, teams, meetings, workgroups, etc.) and apply what is known to specialized tasks and responsibilities, as well as share information accurately and effectively with leadership.
  • High-level attention to detail and strong communication skills (verbal and written).
  • Prior experience working in a high-pressure, professional setting in collaboration with executive leadership.
  • Ability to maintain confidentiality.

This position description identifies the responsibilities and tasks typically associated with the performance of the position. Other relevant essential functions may be required.

EDUCATION:

  • Bachelor’s degree in business administration or a related field is required.
  • Experience in governance, corporate secretarial, legal entity management preferred.
  • Combinations of relevant education and experience may be considered in lieu of a degree.

EXPERIENCE:

  • Minimum five years of relevant board, legal or regulatory experience that provides the necessary skills, knowledge and abilities to perform the job duties required.
  • Five years of experience in regulatory or corporate governance fields.
  • Relevant experience in an insurance organization highly preferred.

SKILLS/KNOWLEDGE/ABILITIES (SKA) REQUIRED:

Demonstrated knowledge and competency in the following areas:

  • Interpreting rules and regulations for many states; multiple sets of bylaws, operating agreements, articles of incorporation/organization and other related governance documentation for various entity types and in various states of domicile.
  • Capturing and interpreting key elements of discussion, material, requests for information, or undocumented motions, and further; carrying information forward to leadership for follow-up, alignment, and/or future board action.
  • Interacting with high-level individuals, establishing of exceptional working relationships with executive leadership and board directors and serving as a point of contact on various matters.
  • Confidence in providing feedback and suggesting content/material changes to executive staff, verbally and in writing.
  • Ability to take initiative, prioritize work, set priorities and meet critical deadlines with minimal or no supervision, as well as function as a member of a team.
  • Ability to handle numerous tasks simultaneously and function under pressure.
  • Ability to conduct research for special projects and prepare and present executive summaries, proposals and report findings.
  • Advanced user of Word, Excel, PowerPoint, Adobe and preferably entity management and board portal software.
  • Ability to use diplomacy, discretion and appropriate judgment.
  • Ability to perform assignments at locations outside the office.

Job Type: Full-time

Salary: $25,022.60 - $86,802.58 per year

Schedule:

  • 8 hour shift

Supplemental pay types:

  • Bonus pay
