DroneUp is seeking a Corporate Counsel to assist in the handling of mergers and acquisitions, general corporate legalities, contracts, intellectual property, leases, and all other company legal matters.

Responsibilities

• Assist the VP, Legal in providing general legal counsel and assistance in a variety of substantive areas on tasks or projects such as reviewing, analyzing, drafting and amending vendor contracts, leases, customer agreements, and other general corporate agreements
• Work on all stages of acquisitions, including performing due diligence and assisting with the preparation of definitive documentation, regulatory filings, and management of post-closing integration and disputes
• Assist in ensuring compliance with various data security and privacy laws
• Help defend and prosecute our registered IP, evaluate open source procedures and other IP related work
• Hands-on delivery of legal services and resources to accomplish corporate goals, strategies, and priorities
• Other duties as assigned

• Law Degree and actively licensed to practice law
• 5+ years of legal experience at a top law firm and/or in-house with experience focused on transactional and general corporate matters
• Preferred law firm and in-house corporate legal experience
• Highly responsive and service-oriented attitude
• Ability to work under pressure, prioritize, and manage workloads to meet deadlines in a challenging and fast-paced environment
• Excellent legal and business judgment
• Experience working on complex business transactions
• Demonstrated capacity to actively solve complicated legal and business problems
• Fantastic communication and interpersonal skills
• Team player who can effectively engage with other members of the legal department and other functional groups
• Flexibility to assist the legal department in its activities and its mission as needs arise
